By accessing or using our website, platform, and services (collectively, the “Services”), you agree to these Terms of Service (“Terms”). Please read these Terms carefully. If you disagree with any part, you may not access our Services.

NEXTELCOAI offers an Omnichannel Telecom and Customer Relations Platform, providing:

• SMS services
• Voice communication services
• Email communication services
• AI-driven interactions
• Customer Relationship Management (CRM)
• Automated workflows and integrations

User Accounts

To access our Services, you must create an account. You agree to provide accurate and complete information and update it as necessary. You are responsible for maintaining the confidentiality of your login credentials.

Pricing, Billing & Non-Refundable Charges

ALL FEES, CHARGES, PAYMENTS, AND PREPAID BALANCES ARE NON-REFUNDABLE to the maximum extent permitted by applicable law, including (without limitation):

• Recurring plan fees (monthly, quarterly, or annual subscriptions),
• Pay-As-You-Go usage charges (e.g., per-message, per-minute, per-lookup, storage, overages),
• Prepaid wallet refills and auto-refills,
• Setup/activation fees, and any regulatory, carrier, verification, registration, or third-party pass-through fees (e.g., A2P/10DLC, brand/campaign fees),
• Taxes, surcharges, and assessments.

Plan Types & Billing

• Pay-As-You-Go Plans. Pricing dynamically adjusts based on your usage and selected services. Current rates are shown in your account dashboard and may change as described in “Amendments to Terms.”
• Recurring Plans. Subscriptions bill at the start of each billing cycle. Plans auto-renew unless canceled as described below. Partial months are not prorated or refunded.
• Payment Methods. We accept credit/debit cards, ACH, or other methods shown in your account. You authorize us to store and charge your method for recurring, usage-based, and wallet refill amounts.

Prepaid Wallet & Auto-Refill

• Refills and auto-refills are final and non-refundable. Wallet balances have no cash value, are not transferable, and may be used only for Services.
• If enabled, auto-refill charges your saved payment method when your balance reaches your configured threshold. Disabling auto-refill applies prospectively and does not entitle you to a refund of any prior refills.
• If a payment fails, we may pause or suspend Services until payment is successful. You remain responsible for all amounts incurred.

Cancellations & Changes

• You may cancel a recurring plan at any time; cancellation takes effect at the end of the current paid term. No refunds are issued for any remaining time in the billing period.
• Downgrades or plan changes take effect per the process shown in your account; no credits or refunds are provided for unused time, features, or balances.

Post-Billing Adjustments

Telecom usage rating may finalize after a short delay. We may post true-up charges or credits for late-reported or re-rated usage, taxes, or pass-through fees. These amounts are non-refundable once billed unless due to our billing error.

Billing Disputes

If you believe there is a billing error by NEXTELCOAI, notify support in writing within 30 days of the charge. We will investigate and, if confirmed, issue a correction. Absent timely notice, charges are deemed accepted and remain non-refundable.

Chargebacks

Initiating a chargeback without first submitting a good-faith billing dispute is a breach of these Terms. We may suspend or terminate Services and you may be responsible for related fees and collection costs, in addition to the unpaid balance.

Non-Payment

Non-payment may result in suspension or termination after any grace period stated in your subscription or dashboard. You remain responsible for all accrued charges, fees, taxes, and collection costs.

Usage Policies and Restrictions

You agree to:

• Comply with all applicable laws, regulations, and industry standards.
• Not use the Services for unlawful, fraudulent, or harmful activities.
• Avoid excessive or abusive use of network resources.

Prohibited actions include:

• Sending unsolicited communications (spam).
• Harassing or abusing individuals through our platform.
• Violating intellectual property rights of NEXTELCOAI or third parties.

Data Privacy and Protection

Our Privacy Policy explains how we collect, use, and safeguard your information. By agreeing to these Terms, you also agree to our Privacy Policy.

Intellectual Property Rights

All Services, content, trademarks, logos, and related intellectual property are owned by or licensed to NEXTELCOAI. Your use grants no rights beyond those expressly provided in these Terms.

Service Availability and Support

We endeavor to provide consistent and reliable Services but do not guarantee uninterrupted availability. Maintenance or updates may temporarily limit access. Support channels and any priority levels are described on our site or in your account.

Termination of Services

Either party may terminate as permitted by your subscription or immediately for a material breach. Termination does not entitle you to any refund and does not relieve you of amounts already incurred or otherwise due.

Liability and Warranty Disclaimer

The Services are provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or uninterrupted availability. NEXTELCOAI is not liable for indirect, incidental, consequential, special, or punitive damages arising from or related to your use of the Services. Our maximum aggregate liability shall not exceed the amount you paid to NEXTELCOAI in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless NEXTELCOAI and its affiliates, employees, officers, directors, and agents from and against claims, damages, losses, or costs arising from your misuse of the Services or violation of these Terms.

Amendments to Terms

We may amend these Terms at any time. We will post updates on our website and may provide notice via email or account notifications. Your continued use after the effective date constitutes acceptance.

Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Disputes shall be resolved exclusively in Sheridan County, Wyoming.
